Robert Half Legal Contracts Manager needed for Intl Corp in Oak Brook!!! in Oak Brook, Illinois
Essential Duties: Coordinate and support contracts process; handle contracts review; complete, audit and prepare contract documents for execution; interface with legal team in the contract review process; manage and track & report status of new contracts and amendments to ensure timely execution; Manage and track all legal contracts for the Procurement Team & various stakeholders; Manage ongoing action item register for contract related activities; Assist legal team to facilitate legal review of non- standard legal documents; Assist in the coordination of the weekly team review of contract status; Develop and manage a contracts process for expirations, renewals, terminations, term escalators, and other key recurring milestone events; Organize and serve as the main interface point with Legal and Operations to gather & input contract requirements for language development with legal; Abstracting contract terms and conditions as contracts are operationalized and communicated to the Procurement Managers and stakeholders; Initiating & managing new contract handoffs; Completing special projects as assigned; Maintain litigation tracking process; Assist in processing invoices for payment and assist with tracking of legal fees; Provide support for Legal Department on lawsuits and intellectual property rights; maintain patents and trademark filing system and work with outside counsel to ensure timely filings; Manage, organize and ensure compliance with Company record retention policy; Develop and monitor ongoing record management training program; Coordinate and monitor auditing plans and processes to ensure compliance within all departments; Assist incompliance with record destruction holds and discovery proceedings; Liaise with and manage relationships of records management service suppliers and consultants; Identify vital records and develop appropriate disaster protection and recovery methods; Under General Counsel direction, resolve routine legal issues; Under General Counsel direction, research legal articles, statutes and judicial decisions; Assist with preparation of confidentiality agreements and other routine agreements as needed; Monitor legal requests and manage delegation of request to appropriate parties; Maintain legal request tracking log to ensure timely review of legal requests; Maintain contracts on Legal SharePoint site, and assist with periodic update of form; Formulate system for online storage by department of executed agreements; Coordinate periodic training of business teams on key contract forms as needed; Provide backup administrative support to the General Counsel including travel, expense reports, scheduling, presentation materials, telephone coverage, correspondence and filing; Other duties as assigned.
