Job Description

SOS International LLC (SOSi) is seeking a Director of Compliance to design, develop, and proactively manage a formal Ethics and Compliance Program to help assure the company and its affiliates are compliant with applicable federal and state laws, rules and regulations. The successful candidate will be the company expert on compliance matters and shall be able to provide proactive guidance and leadership in addressing compliance issues across the company and its affiliates. This position will report to the Executive Vice President & General Counsel.Job Duties and Responsibilities•Develops, initiates, maintains, and revises policies and procedures for the general operation of the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct. Manages day-to-day operation of the Program•Develops and periodically reviews and updates Standards of Conduct to ensure continuing currency and relevance in providing guidance to management and employees•Collaborates with other departments to direct compliance issues to appropriate existing channels for investigation and resolution. Consults with the General Counsel as needed to resolve difficult legal compliance issues•Responds to alleged violations of rules, regulations, policies, procedures, and Standards of Conduct by evaluating or recommending the initiation of investigative procedures. Develops and oversees a system for uniform handling of such violations•Acts as an independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved•Identifies potential areas of compliance vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future•Provides reports on a regular basis, and as directed or requested, to keep senior management informed of the operation and progress of compliance efforts•Establishes and provides direction and management of the compliance Hotline•Institutes and maintains an effective compliance communication program for the organization, including promoting (a) use of the Compliance Hotline; (b) heightened awareness of Standards of Conduct, and (c) understanding of new and existing compliance issues and related policies and procedures•Works with the Human Resources Department and others as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and managers•Monitors the performance of the Compliance Program and relates activities on a continuing basis, taking appropriate steps to improve its effectiveness•Serves as the coordinator for external investigations and inquiries related to the Program•Maintains current knowledge of applicable laws and regulations•Develops the annual compliance work plan that reflects the company’s highest risks that will be monitored by the compliance function as determined by conducting a mandatory annual risk assessment using an enterprise wide approach•Periodically revises the program in light of changes in the needs of the organization, and in applicable law and policies•Develops, coordinates, and delivers an educational training program for employees that focuses on the elements of the compliance program, and seeks to ensure that all appropriate employees and management are knowledgeable of, and comply with, pertinent rules, regulations, and laws

Minimum Requirements

•Bachelor’s degree with 7-10 years of experience in compliance matters with a government contractor•Knowledge of concepts such as: risk assessment, evaluation of controls and prioritization•Experience in compliance process improvement•Strong knowledge of statutory interpretation, legal reasoning and research•Able to exercise judgment when handling confidential, sensitive or legally privileged information•Ability to work effectively with all levels within the organization, gaining their respect while at the same time not compromising the ability to perform as an objective compliance officer. Ability to rank and prioritize risks in terms of net exposure to an organization and allocate time appropriately•Strong judgment skills•Excellent communication skills
